These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Manu Martin Inc (DBA Aumtrix), a Delaware corporation, and its affiliated entities including KishKindha International Pvt Ltd (India) and Kishkindha Healthcare Pvt Ltd (India) (collectively, "Aumtrix," "Company," "we," "us," or "our"), governing your access to and use of our websites, applications, APIs, platforms, quantum computing services, blockchain infrastructure, drug discovery tools, and all related services (collectively, the "Services").
BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE OUR SERVICES.
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.
Aumtrix provides quantum-enhanced technology services across multiple verticals including but not limited to: quantum-resistant blockchain (Layer 1), drug discovery, electric vehicle battery management systems (EV Q-BMS), battery energy storage systems (BESS), semiconductor analysis, post-quantum cryptography (PQC) compliance, carbon credit tokenization, and sovereign AI platforms.
All Services are provided on an "as available" basis. We reserve the right to modify, suspend, or discontinue any Service at any time, with or without notice, at our sole discretion.
All intellectual property rights in and to the Services, including but not limited to all software, algorithms, quantum circuits, AI models, neural networks, blockchain protocols, cryptographic implementations, research data, trade secrets, patents (filed and pending), trademarks, copyrights, source code, object code, documentation, designs, and all derivative works thereof, are and shall remain the exclusive property of Manu Martin Inc (DBA Aumtrix) and its affiliated entities.
No license, right, title, or interest in any Aumtrix intellectual property is granted or implied by these Terms except the limited right to use the Services as expressly permitted herein.
You shall not, directly or indirectly:
You retain ownership of data you submit through the Services ("User Content"). By submitting User Content, you grant Aumtrix a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, and display the User Content solely for the purpose of providing, improving, and developing the Services. This license survives termination of your account.
Any suggestions, ideas, enhancement requests, feedback, or recommendations you provide regarding the Services ("Feedback") shall be the sole and exclusive property of Aumtrix. You hereby irrevocably assign all right, title, and interest in and to such Feedback to Aumtrix without compensation.
Access to certain Services requires payment of fees as set forth in the applicable service plan, API pricing schedule, or enterprise agreement. All fees are quoted in U.S. dollars unless otherwise specified.
Fees are non-refundable except as expressly stated in an applicable enterprise agreement. Aumtrix reserves the right to modify pricing at any time upon 30 days' notice. Failure to pay fees when due may result in suspension or termination of access to the Services.
All fees are exclusive of taxes. You are responsible for all applicable taxes, levies, duties, and government-imposed fees (excluding taxes based on Aumtrix's net income) arising from your use of the Services.
API access is subject to rate limits, quotas, and fair use policies as specified in the applicable service tier. Exceeding these limits may result in temporary or permanent access restrictions.
You shall not use the Services for any unlawful purpose, to infringe any third party's rights, to transmit malicious code, to engage in competitive intelligence, or in any manner that could damage, disable, overburden, or impair the Services.
All proprietary data, reports, models, outputs, quantum computation results, and research deliverables generated through the Services require valid payment before download, export, or external use. Unauthorized extraction of outputs constitutes breach of these Terms and may subject the User to legal action.
Each party agrees to maintain the confidentiality of the other party's Confidential Information. "Confidential Information" includes, without limitation, all non-public technical, business, and financial information, including Aumtrix's algorithms, system architectures, quantum circuit designs, AI model parameters, security configurations, and internal infrastructure details. The obligation of confidentiality survives termination of these Terms for a period of five (5) years.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. AUMTRIX SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
AUMTRIX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. AUMTRIX DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, DATA, OR RESULTS OBTAINED THROUGH THE SERVICES.
QUANTUM COMPUTING RESULTS, DRUG DISCOVERY OUTPUTS, AND AI-GENERATED ANALYSES ARE PROVIDED FOR INFORMATIONAL AND RESEARCH PURPOSES ONLY AND DO NOT CONSTITUTE MEDICAL, FINANCIAL, LEGAL, OR PROFESSIONAL ADVICE. USERS ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING AND VALIDATING ALL OUTPUTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUMTRIX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF AUMTRIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AUMTRIX'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AUMTRIX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Aumtrix, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.
Aumtrix may suspend or terminate your access to the Services at any time, for any reason, with or without notice, at our sole discretion. Upon termination, your right to use the Services ceases immediately. Sections 3, 6, 7, 8, 9, 11, 12, and 13 shall survive termination.
You may terminate your account at any time by contacting us. No refunds will be issued for any prepaid fees upon voluntary termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, United States. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO A JURY TRIAL.
You acknowledge that the Services may be subject to export control laws and regulations of the United States and other jurisdictions. You agree to comply with all applicable export control laws and to not export, re-export, or transfer the Services or any technical data obtained through the Services to any prohibited country, entity, or individual.
Aumtrix reserves the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they become effective. Your continued use of the Services after modified Terms become effective constitutes acceptance of the modified Terms.
